General

The following describes the terms and conditions ("Terms & Conditions") on which iDiscipulus Private Limited ("iDiscipulus") offers you the services, products and access to the information, communications, compilations, images, software, text, graphics, messages, functionality, documents and all other materials offered, supplied, produced, provided and/or delivered on www.idiscipulus.com (the "Site"), from time to time for your use but only for the lawful purposes described herein. By visiting, accessing or using the Site and/or the services related to the Site, you represent that you have read, understood and irrevocably agree to be bound by the Terms & Conditions, and any other policies, rules, guidelines, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference (collectively, the "Agreement"). You further agree to comply with the laws of Singapore or other applicable law regarding the transmission of any information obtained from the Site or the services related to the Site in accordance with the Terms & Conditions, not to use the Site for illegal or fraudulent purposes, and not to interfere or disrupt the networks connected to the Site. For the purposes of these Terms & Conditions, the term "Site" shall include all services, functionality, information, communications, compilations, images, software, text, graphics, messages, documents and all other materials, whether posted on the Site or otherwise offered, supplied, produced, provided and/or delivered to you whether by way of electronic communications in the form of electronic mails, SMS, or any other such method or technology whether now known or hereafter developed. If you do not agree to any of the terms under the Agreement (including any other policies, rules, guidelines, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference), you must not use the Site.

iDiscipulus reserves the right to modify, amend, revise, withdraw, restate or make changes to these Terms & Conditions (including any other policies, rules, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference) and the Site, in whole or in part, at any time or from time to time without any prior notice. It is your sole responsibility to review these Terms & Conditions (including any other policies, rules, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference) for any changes. All modifications, amendments, revisions, withdrawal, restatements and/or changes will be posted on the Site and all such modifications, amendments, revisions, withdrawals, restatements and/or changes shall automatically be effective immediately after they are initially posted on the Site. Your use of the Site and/or any services related to the Site following any such modifications, amendments, revisions, withdrawal, restatements and/or changes to these Terms & Conditions (including any other policies, rules, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference) will signify and constitute your assent to and full acceptance of the Terms & Conditions (including any other policies, rules, code of conduct and regulations as may be imposed and/or required by iDiscipulus from time to time which are incorporated herein by reference) as modified, amended, revised, withdrawn, restated and/or changed. This Agreement may not be otherwise amended except in writing signed by you and iDiscipulus.

Some of the services offered on the Site are only available to parties who have registered as registered users or members of the Site with iDiscipulus and you undertake and warrant that all information provided by you to iDiscipulus in connection with such registration as users or members of the Site is true, correct and complete and you have the capacity and power to enter into this Agreement and use the services. Any reference to a registered user or member of the Site includes without limitation tutors, teachers, students or parents/guardians of students or such other persons who have registered as registered users or members of the Site. For the avoidance of doubt, these Terms & Conditions apply to all users of the Site. Students are required to consult their parents or guardians about whether this Site is suitable for them prior to using the Site.

All content (including without limitation all text, documents, photographs, graphics, video and audio content) located on the Site is copyrighted and protected by international copyright and trademark laws. You may download materials displayed on the Site for your own personal and non-commercial use only but you must retain all copyright and proprietary notices on downloaded and/or copied material. Save as specifically permitted hereunder, and except for any materials that you have posted on, or submitted to, the Site, you may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of this Site, except that you may download material from the Site for your own personal use as follows: you may make one machine readable copy and/or one print copy only and provided that all copyright and proprietary notices on such material shall be retained in whole. Without limiting the generality of the foregoing, you may not distribute any part of this Site over any network, including a local area network, nor sell or offer it for sale. In addition, these files may not be used to construct any kind of database. Without limiting the foregoing provisions, neither you nor any third party shall make use of the contents of the Site in any manner that constitutes an infringement of iDiscipulus' or any other relevant party’s rights, including copyright.

iDiscipulus may provide facilities on the Site to permit you to submit materials, information, articles, documents, photographs, text, graphics, video and/or audio content ("User Submitted Information") to iDiscipulus or to the Site directly or to other users or members of the Site. You acknowledge and irrevocably agree that you are solely responsible for such of your User Submitted Information and the consequences of posting, submitting, delivering, providing or publishing them, and iDiscipulus merely acts as a passive conduit for your online submission, delivery, provision, distribution and publication of your User Submitted Information. For the avoidance of doubt, User Submitted Information shall include without limitation any and all materials, information, articles, documents, photographs, text, graphics, video and/or audio content posted, submitted, delivered, provided or published by tutors or students pursuant to or in connection with the "ASK-A-TUTOR 24/7", "SHARE NOTES", and/or "HOB-NOB" sections of the Site. You agree that:

(a)

You hereby undertake, confirm, represent and warrant that you own or have the necessary licenses, rights, consents and permissions to use and authorize iDiscipulus to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all of your User Submitted Information to enable inclusion and use of your User Submitted Information in the manner contemplated by the Site and these Terms & Conditions,

(b)

Your User Submitted Information (or any materials contained therein):

(i)	shall not be false, fraudulent, inaccurate, incorrect or misleading;
(ii)	shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
(iii)	shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
(iv)	shall not be defamatory, libelous, offensive, unlawfully threatening or unlawfully harassing;
(v)	shall not be obscene or contain child pornography or anything adult in nature or harmful to minors;
(vi)	shall not contain any religious or political content;
(vii)	shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
(viii)	shall not create any liability for iDiscipulus or cause iDiscipulus to lose (in whole or in part) the services of iDiscipulus' ISPs or other suppliers; and
(ix)	shall not cause iDiscipulus to violate any applicable law, statute, ordinance or regulation,

(c)

You hereby grant iDiscipulus a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) and transferable right to use, reproduce, print, distribute, prepare derivative works of, display and to exercise the copyright and publicity rights you have in your User Submitted Information, in any media now known or not currently known, with respect to your User Submitted Information; and you also hereby grant each user of the Site a non-exclusive license to access your User Submitted Information through the Site and to use, reproduce, print, distribute and display your User Submitted Information as permitted through the functionality of the Site and under these Terms & Conditions,

(d)

iDiscipulus may in its sole and absolute discretion retain server copies of your User Submitted Information irrespective of whether they have been removed or deleted by you,

(e)

iDiscipulus may in its sole and absolute discretion remove or delete any and/or all of your User Submitted Information without prior notice and without providing any reasons whatsoever,

(f)

The above licenses granted by you are perpetual and irrevocable, and

(g)

iDiscipulus does not guarantee any confidentiality with respect to any User Submitted Information.

iDiscipulus does not warrant nor guarantee any confidentiality with respect to any User Submitted Information irrespective of whether such User Submitted Information is published and iDiscipulus does not endorse any User Submitted Information or any opinion, recommendation, or advice expressed therein, and iDiscipulus disclaims any and all liability in connection with any User Submitted Information. iDiscipulus does not permit copyright infringing activities and infringement of any intellectual property rights on the Site and iDiscipulus will remove any User Submitted Information or other content if properly notified that such User Submitted Information or other content infringes on another person’s intellectual property rights. iDiscipulus reserves the right to remove any and/or all User Submitted Information or other content without any prior notice and without providing any reasons whatsoever.

iDiscipulus does not warrant nor guarantee that information transmitted through the internet is secure or that such transmissions will be free from delay, interruption, interception or error.

The trade marks, service marks and logo (the "Trade Marks") used and displayed on the Site are registered and unregistered Trade Marks of iDisicipulus, its subsidiaries or its licensors. Nothing on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Trade Marks displayed on the Site, without the written permission of iDiscipulus. iDiscipulus and its subsidiaries aggressively enforces its intellectual property rights to the fullest extent of the law. The name of iDiscipulus or the Trade Marks may not be used in any way, including in advertising or publicity pertaining to the distribution of your User Submitted Information on the Site, without prior written permission of iDiscipulus. iDiscipulus prohibits use of the Trade Marks as a "hot" link or inlink to any iDiscipulus site or any other site unless establishment of such a link is approved in advance by iDisicipulus in writing.

iDiscipulus shall have the right, but not the obligation, to monitor the content on the site, including without limitation any chat rooms and forums, and iDiscipulus shall have the right to remove or delete any material (including Your User Submitted Information) that iDiscipulus, in its sole discretion, finds to be in violation of any applicable laws, codes, rules or regulations. iDiscipulus shall have the right to remove any material (including Your User Submitted Information) submitted to, or posted on, the Site without notice. Without limitation to the foregoing, iDisicipulus shall have the right to remove any material (including Your User Submitted Information) that iDiscipulus, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable or inappropriate without having to assign any reason.

You agree and undertake that (i) you will not use any robot, spider, other automatic device, or manual process to monitor or copy the Site or the content contained therein without iDiscipulus' prior express permission in writing; (ii) you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site; and (iii) you will not take any action that imposes an unreasonable or disproportionately large load on iDiscipulus’ infrastructure. Much of the information on the Site is updated on a real time basis and is proprietary or is licensed to iDiscipulus by iDiscipulus' users or third parties. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for Your User Submitted Information) from the Site without the prior expressed permission in writing of iDiscipulus or the appropriate third party.

iDiscipulus will not be responsible for any connection or access to the Site by you or the quality of the transmission of any information passing between you and the Site. You will be responsible for providing your own communications equipment to access the Site via the Internet, and any Internet access charges thereon.

12.

Where you subscribe for and/or utilise any of the services on the Site, whether as a seller/potential seller or a buyer/potential buyer or otherwise, you hereby expressly acknowledge and agree that the Site acts as a venue only and iDiscipulus is not involved nor responsible in anyway whatsoever for the reliability, veracity, correctness, completeness, accuracy or truthfulness of any information or materials that is posted, submitted, provided or delivered by any users of the Site or the posting, submission, provision or delivery of such information or materials from iDiscipulus to you. You acknowledge and agree that iDiscipulus cannot, does not and has no control or ability to verify if all information, data and all such other materials posted, submitted, provided and/or delivered to you are true, correct, complete, accurate or reliable and you further expressly agree to release, hold harmless and indemnify iDiscipulus, its parent, subsidiaries, affiliates, shareholders, employees and officers from any claims, demands, losses, liabilities, costs, expenses and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in connection with this Agreement, the Site, the content and services relating to the Site, any dispute between any users of the Site and/or any other matters referred to hereunder.

13.

The Site is available on an "as is where is" basis. iDiscipulus does not in any way warrant that the Site will be uninterrupted or error-free. You agree and accept that there may be delays, omissions, interruptions and inaccuracies in the news, articles, information, documents or other materials available on, or delivered through, the Site. iDiscipulus shall not be responsible in any way whatsoever for the availability or content of other services that may be linked to the Site. iDiscipulus does not make any warranties, express or implied, including without limitation, those of merchantability and fitness for a particular purpose, with respect to the Site or any information, products, services or goods that are available, advertised, offered or sold through the Site. iDiscipulus does not make any representations regarding, nor does iDiscipulus endorse, the truthfulness, accuracy, correctness, completeness, timeliness or reliability of any advice, information, opinion, statement or other material or database displayed, uploaded, submitted, delivered or distributed in the Site or available though links in the Site. iDiscipulus reserves the right to correct any errors or omissions in the Site but is under no obligation to do so. Although iDiscipulus intends to take such steps as it deems reasonable to prevent the introduction of viruses, worms, "Trojan horses" or other destructive materials to the Site, iDiscipulus does not in any way whatsoever guarantee or warrant that the Site or materials that may be downloaded, accessed or otherwise obtained from the Site do not contain such destructive features. You irrevocably agree and accept that iDiscipulus is not and will not be liable in any way whatsoever for any damages or harm attributable to such features. You agree and accept that if you rely on the Site and/or any materials made available through or on the Site, you do so solely at your own risk. IDISCIPULUS, ITS SHAREHOLERS, ITS OFFICERS, ITS EMPLOYEES, ITS SUBSIDIARIES, ITS AFFILIATES, ITS ASSOCIATES, ITS RELATED CORPORATIONS AND ITS AGENTS MAKE NO WARRANTY WHATSOEVER AND HEREBY DISCLAIM ALL AND ANY WARRANTY, EXPRESS OR IMPLIED (TO THE EXTENT PERMITTED BY LAW) (1) IN RESPECT OF THE USE, SECURITY, CORRECTNESS, COMPLETENESS, ACCURACY, RELIABILITY, TIMELINESS, NON-INFRINGEMENT, SATISFACTORY QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE CONTENT OR OF THE USE OF THE SITE OR OF ANY MATERIALS, INFORMATION OR ADVICE MADE AVAILABLE ON OR THROUGH THE SITE; (2) IN RESPECT OF HARM ARISING FROM DOWNLOADING OR ACCESSING ANY INFORMATION OR MATERIAL THROUGH THE SITE, INCLUDING WITHOUT LIMITATION, HARM CAUSED BY VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES, WHETHER KNOWN OR UNKNOWN; AND (3) THAT THE CONTENT AND ANY FUNCTIONS ASSOCIATED THEREWITH WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE SITE AND ITS SERVER WILL BE FREE OF ALL VIRUSES AND/OR OTHER HARMFUL ELEMENTS. IDISCIPULUS DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OF OFFERED BY A THIRD PARTY THROUGH THE SITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND IDISCIPULUS WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF PRODUCTS OR SERVICES.

IN NO EVENT SHALL IDISCIPULUS, ITS SHAREHOLDERS, ITS OFFICERS, ITS EMPLOYEES, ITS SUBSIDIARIES, ITS AFFILIATES, ITS ASSOCIATES, ITS RELATED CORPORATIONS OR ITS AGENTS BE LIABLE OR RESPONSIBLE TO YOU AND/OR TO ANY PARTY IN ANY WAY WHATSOEVER FOR ANY DAMAGES, EXPENSES, CLAIMS, COSTS OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH ANY LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE), YOUR USE OF OR INABILITY TO USE THE SITE, THE CONTENT OF THE HYPERLINKS, THE CONTENT OF THE SITE OR THE CONTENT OF MATERIALS OR INFORMATION MADE AVAILABLE ON OR THROUGH THE SITE, ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, AND/OR ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY, INCLUDING WITHOUT LIMITATION SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND, IN ANY EVENT, ANY CLAIM AGAINST IDISCIPULUS SHALL BE LIMITED TO THE AMOUNT YOU PAID TO IDISCIPULUS, IF ANY, FOR USE OF THE SITE OR ANY SERVICES MADE AVAILABLE ON OR THROUGH THE SITE. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT IDISCIPULUS WILL NOT BE LIABLE FOR ANY USER SUBMITTED INFORMATION OR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

15.

You agree to indemnify and hold harmless iDiscipulus, its directors, officers, employees, shareholders, parents, subsidiaries, affiliates, agents, and licensors, from and against any and all claims, liabilities, losses, expenses, damages, expenses and costs, including reasonable lawyers' fees, arising from or in connection with your violation of any of these Terms & Conditions and/or any other regulations, policies, rules, guidelines, code of conduct or requirements of iDiscipulus, your use of and access to the Site, your violation of any third party right (including without limitation any copyright, property or privacy right), or any claim that any of your User Submitted Information caused damage or loss to a third party or another user. This indemnity obligation will survive this Agreement and your use of the Site. iDiscipulus reserves the right to take over the exclusive defense of any claim for which iDiscipulus is entitled to indemnification under this Clause. In such event, you shall provide iDiscipulus with such cooperation as is requested by iDiscipulus.

16.

You hereby expressly acknowledge and agree:

(a)	that all electronic communications and transactions made pursuant to this Agreement and/or use of the Site shall be given legal effect, validity and enforceability and shall have, between the parties thereto, comparable evidential value to that accorded to a signed written document;
(b)	not to contest the legally binding nature, validity or enforceability of any transaction on the Site on the ground that it was entered into electronically and that you expressly waive any and all rights you may have to assert any such claims;
(c)	to comply with all relevant laws and regulations concerning electronic communications;
(d)	that you are solely responsible for the activity that occurs on any account that you establish on the Site, that you must keep your account password secure and notify iDiscipulus immediately of any breach of security or unauthorized use of your account, that you will never use another person’s account without permission, that iDiscipulus will not be liable for any of your losses caused by any unauthorized use of your account, and that you may be liable for the losses of iDiscipulus or other persons due to such unauthorized use;
(e)	not to assume a false identity or the identity of some other member when using the Site or transmit libelous, defamatory, offensive, provocative, harassing, vulgar or otherwise objectionable messages through the Site; or post, submit, deliver or publish materials subject to copyright or other intellectual property rights claimed by any third party; or use the Site for any unlawful, illegal or fraudulent activities (including spamming the other users or any other person by sending unsolicited e-mails).

17.

You acknowledge that the Site may contain links to third party websites that are not owned or controlled by iDiscipulus and you agree and understand that iDiscipulus has no control over and assumes no responsibility whatsoever for the content, privacy policies or practices of any third party websites, and that iDiscipulus will not and cannot censor or edit any content of any third party website. By visiting, accessing or using the Site, you agree to indemnify and hold harmless iDiscipulus from and against any and all liability arising from and in connection with your use of any third party website.

18.

iDiscipulus reserves the right at any time and from time to time to discontinue or modify any aspect of the Site or any services provided on or in respect of the Site with or without notice. You agree that iDiscipulus shall not be liable to you or any third party for any modification, suspension or discontinuance of the Site (or any aspect of the Site) or any services provided on or in respect of the Site.

19.

iDiscipulus will terminate any user’s access to the Site if iDiscipulus determines in its sole discretion that such user has breached the terms of this Agreement or that such user is a repeat infringer. Without prejudice to the generality of the foregoing, iDiscipulus may at any time and from time to time without prior notice immediately terminate any user’s access to the Site or any user’s account with the Site if any of the following shall arise or occur: (i) a request by any law enforcement or other governmental agencies, (ii) a request by any such user, (iii) a discontinuance or modification to the services on the Site (or any part thereof), (iv) a technical or security issue or problem, (v) an extended period of inactivity, (vi) any such user has engaged in illegal or fraudulent activities, or (vii) any non-payment of any fee or financial amount owed by any such user to iDiscipulus. iDiscipulus shall not be liable to any user or any third party for any termination of such user’s access to or account with the Site. iDiscipulus reserves the right to decide in its sole discretion whether any content or User Submitted Information is appropriate and is in compliance with the terms under this Agreement. iDiscipulus may at any time remove any User Submitted Information and/or terminate any user’s access for uploading such material in breach of the terms under this Agreement, without prior notice and at its sole discretion. iDiscipulus reserves the right at all times to disclose any information or materials (including without limitation User Submitted Information) as necessary to comply with any law, regulation or governmental request.

20.

These Terms & Conditions shall be governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with this Agreement (including any question regarding its existence, validity or termination), the use of the Site or of any services made available on or through the Site, shall be deemed to have taken place in Singapore and shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this Clause. If any provision of these Terms & Conditions is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforced. Any failure to act by iDiscipulus with respect to any breach by you or others of any of the provisions of these Terms & Conditions does not waive iDiscipulus’ right to act with respect to subsequent or similar breaches. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by iDiscipulus without restriction. The Site is controlled and offered by iDiscipulus from its facilities in the Republic of Singapore, and iDiscipulus makes no representations that the Site is appropriate or available for use in other locations and accordingly any person who visits, accesses or uses the Site from any other jurisdiction do so entirely at his/her own volition and risk and is solely responsible for compliance with local law in such jurisdiction. YOU IRREVOCABLY AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE OR USE OF THE SITE OR THIS AGREEMENT MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR OTHERWISE SUCH CAUSE OF ACTION IS PERMANENTLY AND FOREVER BARRED.

Additional Terms for Students and/or Parents or Guardians of Students

21.

Where you are a student, you affirm and confirm that you are either more than 18 years of age, or an emancipated minor, or possess or have procured legal parental or guardian consent, and are fully able and competent to enter into and agree to the terms, conditions, obligations, confirmations, affirmations, undertakings, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement. IN ORDER TO MAKE ANY TYPE OF MONETARY TRANSACTOIN, YOU MUST BE AT LEAST 18 YEARS OF AGE. IF YOU ARE UNDER 18 YEARS OF AGE THEN YOU ARE REQUIRED AND MUST HAVE YOUR PARENTS’ OR GUARDIAN’S CONSENT TO MAKE ANY SUCH TRANSACTIONS. YOU IRREVOCABLY AGREE AND UNDERTAKE TO PAY OR PROCURE THE PAYMENT OF SUCH FEES OR COSTS AS MAY BE DETERMINED AND IMPOSED BY IDISCIPULUS IN ITS DISCRETION FOR ANY SERVICES YOU RECEIVE ON THE SITE WHICH REQUIRES SUCH PAYMENT TO BE MADE.

Where you are a student or a parent/guardian of a student, you acknowledge, understand and irrevocably agree that the “ASK-A-TUTOR 24/7” service offered on the Site involves iDiscipulus acting solely and merely as an online tuition agency and the Site serving solely and merely as a conduit between registered users/members (who are tutors) and registered users/members (who are students and/or parents or guardians of students) and that you hereby waive any and all of your rights to be informed of, and you do not and will not require iDiscipulus to disclose, the identity or details of any registered user/member (who is a tutor) who may post/provide or has posted/provided responses/answers to any of your questions/submissions that may be posted/submitted or has been posted/submitted using or via the “ASK-A-TUTOR 24/7” service on the Site. You acknowledge, understand and irrevocably agree that any or all of your questions/submissions, in whole or in part, posted or submitted using or via the “ASK-A-TUTOR 24/7” service on the Site may not be taken up, attended to or responded to by any registered user/member (who is a tutor), and iDiscipulus does not and has no control or ability nor any obligation whatsoever to ensure or procure that any such questions/submissions will be attended or responded to by any registered user/member (who is a tutor) or otherwise. IDISCIPULUS DOES NOT WARRANT NOR GUARANTEE THAT YOUR QUESTIONS/SUBMISSIONS POSTED OR SUBMITTED USING OR VIA THE “ASK-A-TUTOR 24/7” SERVICE ON THE SITE WILL BE ATTENDED OR RESPONDED TO BY ANY PERSON. IDISCIPULUS DOES NOT WARRANT, ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY RESPONSES/ANSWERS POSTED OR PROVIDED THROUGH THE SITE TO YOU OR ANY OTHER REGISTERED USER, AND IDISCIPULUS WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY REGISTERED USER/MEMBER (INCLUDING ANY SUCH PERSON WHO IS A TUTOR). IDISCIPULUS (OR THE SITE) IS NOT AND SHALL NOT BE DEEMED AN AGENT OF ANY REGISTERED USER/MEMBER (WHO IS A STUDENT AND/OR PARENT OR GUARDIAN OF SUCH STUDENT).

23.

Where you are a student or a parent/guardian of a student, you agree and undertake to indemnify and hold harmless iDiscipulus, its directors, officers, employees, shareholders, parents, subsidiaries, affiliates and agents from and against any and all liability, loss, damage or harm arising from and in connection with your use of or reliance on any responses, answers, opinion, advice or materials posted or provided or which you may receive on or through the “ASK-A-TUTOR 24/7” service on the Site.

24.

Where you are a student or a parent/guardian of a student, you acknowledge and agree that iDiscipulus does not and will not act as an arbitrator or mediator for any conflicts, disputes or disagreements that may arise between any registered users/members out of or in connection with the use of the “ASK-A-TUTOR 24/7” service on the Site. However, iDiscipulus is prepared (but not obligated) to offer its views and suggestions.

Additional Terms for Tutors

25.

Where you are a tutor, you acknowledge, understand and irrevocably agree that the “ASK-A-TUTOR 24/7” service offered on the Site involves iDiscipulus acting solely and merely as an online tuition agency and the Site serving solely and merely as a conduit between registered users/members (who are tutors) and registered users/members (who are students and/or parents or guardians of students) and that you hereby waive any and all of your rights to be informed of, and you do not and will not require iDiscipulus to disclose, the identity or details of any registered user/member (who is a student and/or parent or guardian of such student) who may post/provide or has posted/provided questions/submissions using or via the “ASK-A-TUTOR 24/7” service on the Site.

26.

Where you are a tutor, you agree that iDiscipulus acts and serves only as an online tuition agency in connection with the “ASK-A-TUTOR 24/7” service offered on the Site and seeks to (but is under no obligation to) source on behalf of registered users/members of the Site (who are tutors) private tuition assignments requested solely through the posting or submission of questions via the “ASK-A-TUTOR 24/7” service on the Site by registered users/members of the Site (who are students and/or parents or guardians of such students). However, you acknowledge and agree that iDiscipulus does not guarantee that a registered user/member (who is a tutor) will be assigned, allocated, or given the opportunity to respond to, any questions/submissions posted on or submitted through the “ASK-A-TUTOR 24/7” service on the Site. The Site is not, does not operate as, and shall not be deemed, a school or a tuition centre.

27.

Where you are a tutor, you agree, confirm and undertake to ensure that, if you are an employee of any school or educational institution in Singapore, your use (as a tutor) of, and/or your participation as a registered user/member of the Site (as a tutor) in, the “ASK-A-TUTOR 24/7” service on the Site is conducted outside your working or school hours, does not detract you from any of your official duties assigned in connection with your employment with any such school or educational institution, is at all times in compliance with any rules, laws, regulations, guidelines or conditions for part-time work (including without limitation giving private tuition) which you are subject to in connection with your employment with any such school or educational institution, and does not conflict with your work or duties in connection with your employment with any such school or educational institution. In addition, you agree that your use of the Site is governed by, and that you will comply at all times with, the iDiscipulus' Tutor's Code of Conduct which is found at Tutor's Code of Conduct.

Where you are a tutor, you acknowledge and agree that iDiscipulus does not and will not act as an arbitrator or mediator for any conflicts, disputes or disagreements that may arise between any registered users/members out of or in connection with the use of the “ASK-A-TUTOR 24/7” service on the Site. However, iDiscipulus is prepared (but not obligated) to offer its views and suggestions.

29.

Where you are a tutor, you agree and undertake to hold harmless and indemnify iDiscipulus, its directors, officers, employees, shareholders, parents, subsidiaries, affiliates and agents from and against any and all actions, claims, demands, costs, expenses, losses, liabilities and damages taken or made against iDiscipulus or incurred by iDiscipulus in respect of any liability due to any user of the Site or any third party arising out of or in connection with your use of the Site or its related services.

30.

Where you are a tutor, you agree that all information, documents, reports or materials provided to you by iDiscipulus in connection with your registration as or being a user/member of the Site (who is a tutor) (including without limitation your use (as a tutor) or your participation (as a tutor) in the “ASK-A-TUTOR 24/7” service on the Site) is confidential to iDiscipulus and may not be disclosed to any person except with the prior written consent of iDiscipulus. The obligations contained in this Clause shall endure, even after the termination of this Agreement.

31.

You understand, acknowledge, irrevocably agree and undertake that nothing in this Agreement will create any partnership, joint venture, franchise, sales representative or employment relationship between the parties. You also acknowledge and agree that you are not an agent of iDiscipulus. You are expressly prohibited from stating, representing or implying, orally or in writing, that you are franchises, joint venture partners, partners, agents or employees of iDiscipulus. You have no authority to speak or act on behalf of iDiscipulus, or to bind iDiscipulus in any way.

Purchases

32.

You agree to pay all fees, charges and/or associated taxes (“Fees”) made to your account based on iDiscipulus’ fees, charges and billing terms in effect as shown on the “Buy Credits” section on the Site. If you do not pay on time or if iDiscipulus cannot charge your credit card, “telemoney electronic payments” or other payment methods for any reason, iDiscipulus reserves the right to either suspend, disallow, discontinue or terminate your account, your access to the Site and/or your access to any relevant services on the Site. You expressly agree that iDiscipulus is permitted to bill you for the applicable Fees you may incur in connection with your use of the Site. NO REFUNDS WILL BE PERMITTED FOR ANY PURCHASE OF CREDITS ON THE “BUY CREDITS” SECTION ON THE SITE AND YOUR PURCHASES ARE MADE AT YOUR OWN RISK. CREDITS SOLD ARE NON-REFUNDABLE.

You recognise, acknowledge and agree that non-public information concerning yourself which you disclose to iDiscipulus, or other agents of iDiscipulus, including without limitation your name, address, telephone number, e-mail address, identification number, credit card number, bank account number and information regarding your use of this Site (collectively, the "Personal Information") may be disclosed (i) to the management, officers, employees, staff and agents of iDisciupulus, its attorneys, accountants, auditors and tax advisers in furtherance of iDiscipulus' business and to other service providers who may have a need for the Personal Information in connection with providing services to iDiscipulus in connection with this Site, (ii) to third party service providers or financial institutions who may be providing services (including without limitation, marketing services and website maintenance or development services) to iDiscipulus provided that such persons must agree to protect the confidentiality of the Personal Information and use the Personal Information only for the purposes of providing services to iDiscipulus, and (iii) as otherwise required or permitted by law.

Communications

iDisicipulus may at its sole discretion provide to you from time to time notifications, messages, statements, reports and other communications relating to iDiscipulus, the Site and/or your use of the Site in electronic form, such as e-mail. YOU HEREBY CONSENT TO THE SENDING OF SUCH NOTIFICATIONS, MESSAGES, STATEMENTS, REPORTS AND OTHER COMMUNICATIONS RELATING TO IDISCIPULUS, THE SITE AND/OR YOUR USE OF THE SITE EXCLUSIVELY IN ELECTRONIC FORM. By consenting you also acknowledge that e-mails from iDiscipulus may be accessed by recipients other than yourself and may be interfered with, may contain computer viruses or other defects and may not be successfully replicated on other systems. Each of iDiscipulus and its agents gives no warranties in relation to these matters. If you have any doubts about the authenticity of an e-mail purportedly sent by iDiscipulus, you must contact the purported sender immediately.
